WARP TECHNOLOGY HOLDINGS NAMES DR. DAVID M. MILCH
GLOBAL HEAD OF SALES & MARKETING STRATEGY

NEW YORK, NY - March 6, 2003 -- WARP Technology Holdings, Inc. (OTC BB: WRPT) a leading developer of advanced technology solutions for distributed Web application acceleration, today announced that Dr. David M. Milch, 48, has joined the company as Global Head of Sales and Marketing Strategy, effective immediately. Dr. Milch, a distinguished leader in facilitating the commercial success of emerging medical and information technologies, will be responsible for advancing the company's growth through an aggressive partnering strategy with key technology players, and other advisory activities.

" David's extensive expertise in successfully identifying and helping transition breakthrough technologies into the market ideally complements the direction of Warp Solutions," stated Karl Douglas, CEO of WARP Technology Holdings, Inc. (the parent company of Warp Solutions). “His track record in identifying emerging technology opportunities, and then helping both develop and implement the necessary strategies to capitalize on these opportunities, will now be available to benefit Warp."

Dr. Milch commented on the critical importance of strategic partnering in today's difficult technology market environment, "Without partnering at an early stage of development, young technology companies today have a huge challenge to effectively achieve any degree of market presence or significantly expand their often hard earned, but small, market share. Warp Solutions' early success in establishing a leading reputation in the emerging field of Application Acceleration must now be leveraged through such partnering arrangements, to the benefit of all parties involved. This will essentially be a natural progression in the penetration and market recognition of Warp's breakthrough technology for dynamic caching and other application acceleration techniques, and certainly ties in nicely with its overall growth plan and business model."

Prior to joining Warp Technology, Dr. Milch advised or partnered with a number of rapid growth enterprises including Datatec Systems (NASDAQ: DATC), a leading provider of technology deployment services and software tools which he co-founded in 1992 and where he currently serves on the company's Board. A graduate of Stanford University (BS '76) and Harvard Medical School (MD '80), in 1988 Dr. Milch formed Davco Consultants, Inc. to personally capitalize on his long-standing interest in technology and business. Over the years he and his partners have invested in a wide range of emerging and rapid growth technology companies in the life sciences and information technology. Some of Dr. Milch's earlier experiences include serving as an advisor to MiniMed from 1995 through 1998 before it was successfully sold to a public company; serving on the Board of OxiGene, Inc. (NASDAQ NM: OXGN) a biopharmaceutical company developing a novel class of vascular targeting agents from 1993 through 1995; being an early investor in NextLevel Communications (NASDAQ, NM: NXTV), a world leader in integrated broadband access platforms for delivering any combination of voice, high-speed data and multi-stream digital video services into the home or office, as well as interests in Advanced Bionics Corporation (medical devices) and Theravance, Inc. (drug discovery) and Cignal Communications (broadband).
