WARP SOLUTIONS AND LUCENT TECHNOLOGIES COLLABORATE TO PROVIDE WORLD-CLASS TECHNOLOGY FOR INTERNET CONTENT DELIVERY

NEW YORK -February 21, 2001 - WARP Solutions, Inc., providers of intelligent technology for Internet performance, and Lucent Technologies' (NYSE:LU) Internet Content Delivery and Distribution (iCDD) business unit announced today that they have entered into a non-binding Memorandum of Understanding (MOU) under which they will market each other's next-generation Internet performance products. Under the MOU, the companies have agreed to combine their technologies to provide world-class content delivery solutions for large-scale Web sites, hosting firms and service providers.

WARP Solutions will resell Lucent's imminet WebCache servers, providing clients with the ability to serve Web content from the edge of their networks and minimize traffic loads on core site resources. Included among the imminet WebCache appliances is the WebCache S100, a streaming proxy-cache introduced this week, that integrates the very latest in RealNetworks' proxy technology, RealProxy.

Lucent will resell WARP Solutions' Internet performance technologies, WARP Content Cluster, WARP Intelligent Content Distributor and WARP Dynamic Content Director, to provide clients with integrated traffic management and content distribution solutions for their Web servers. The companies made the announcement at Content Delivery Networks 2001, an industry conference for content providers, service providers, enterprise organizations and leading CDN vendors.

"Working together not only enables us to deliver industry leading caching and content delivery solutions, but it also meets the next generation of hardware, clustering, content distribution and management demands," said Michael Jackman, Executive Vice President, Global Sales & Marketing , for WARP Solutions. " With WARP Solutions' clustering and content distribution solutions optimizing a site's core Web resources and Lucent's caching solution minimizing the traffic loads on the site resources, we will enable our customers to deliver dramatically improved site performance and quality of experience at a low price-to-performance ratio."

"This collaboration draws on the resources of Lucent's Bell Labs and the strength of the Lucent sales channel. Together with WARP Solutions, Lucent will offer ways to distribute Internet content faster and more efficiently," said Garrett Dreier, Vice President of Business Development for Lucent's iCDD business unit.

The goal of the relationship is to deliver a comprehensive full-site performance solution from the front end to the back end of Web site architectures. This approach will resolve key performance challenges for Web site architectures, from the Web servers to the databases. End users will experience quicker response times and a higher level of reliability, and businesses, as a result, will experience increased customer satisfaction and retention, maximizing the revenue potential of each site.

"As more people access the Internet through wireless and optical networks, the challenge will be accommodating their growing numbers, as well as the amount and complexity of Internet content as it transforms from simple Web sites to interactive e-commerce sites serving thousands of customers at a time," said Dreier. "To meet this challenge Lucent is developing a broad range of similar alliances in the spirit of an open Internet. We add Bell Labs innovations to exciting new products from emerging companies such as WARP Solutions while assuring service-provider reliability. The solutions resulting from these alliances will profoundly transform Internet infrastructure and thus change the way we interact on-line."

"This timely partnership between WARP Solutions and Lucent's iCDD group moves both companies towards an integrated infrastructure solution," said Michael Hoch, Senior Analyst at Aberdeen Group. "The coupling of WARP's software with Lucent's content-delivery technology is a strong infrastructure combination. e-Commerce firms and Internet solution providers need solutions like these to provide secure, inter-operable and fast content delivery that is essential for a high end-user quality of experience."
